OFFICAL RULES

SUMMIT FOR PREMIER MITEL CLOUD MIGRATION PARTNERS CONTEST OFFICIAL RULES “SUMMIT FOR PREMIER MITEL CLOUD MIGRATION PARTNERS CONTEST” (the “Contest”) is sponsored by Mitel Networks, Inc. (“Mitel”)

Contest Period
1. The Contest begins at 10:00 AM Eastern Time (“ET”) on January 1, 2022 and ends at 11:59 PM ET on December 31, 2022 (the “Sales Eligibility Period”).

Eligibility
2. The Contest is open to Mitel authorized channel partners (“Eligible Partner(s)”) located in North America meeting the following criteria:

a. Have earned a minimum of 4,000 Mitel Global Partner Program points (“GPP Points”) as detailed in the Section labelled GPP Points below during the Sales Eligibility Period;
b. Be in good standing with Mitel; and
c. Where the GPP Points are earned as a result of a migration from a Mitel on-premises solution to the RingCentral MVP Service:

i. Be registered as a RingCentral, Inc. (“RingCentral”) partner (as that term is defined by RingCentral);
ii. Be registered as the partner of record for the end user with Mitel and Ring Central; and
iii. Have elected to data-share migration opportunities at a company level between Mitel and RingCentral either prior to or during the Sales Eligibility Period.

How to Win
3. The winners of the Contest will be the top twelve (12) Eligible Partners to earn the highest amount of GPP points during the Sales Eligibility Period (each a “Winner”).

GPP Points
4. An Eligible Partner earns GPP Points as follows:

a. For every current Mitel on-premises solution migrated to RingCentral’s MVP service, Eligible Partner earns two (2) points per migrated seat.
b. For every current Mitel on-premises solution migrated to Mitel Subscription, Eligible Partner earns one (1) point per $10 Mitel Subscription booking.

5. A “current Mitel on-premises solution” includes any customer with a license record in AMC or SLS license servers.
6. A qualifying migration to RingCentral’s MVP service includes RingCentral MVP Standard, Premium or Ultimate profile/seats.
7. A qualifying migration to Mitel Subscription includes MiVoice Business Subscription, MiVoice 400 Subscription, or MX-One Subscription.
8. For migrations from a current Mitel on-premises solution to RingCentral MVP service:

a. Eligible Partner must be registered with RingCentral in advance of booking if the migration is to be eligible for GPP Points;
b. Migration to be confirmed through standard reporting from RingCentral to Mitel; and
c. Migration opportunity must be considered a net new RingCentral customer.

Prize Description
9. There are twelve (12) trips (each a “Prize”) available to be won, each consisting of one (1) trip for two (2) adults (18 years of age or older) to Punta Cana, Dominican Republic, which includes, but is not limited to:

a. Round-trip airfare - class, seat selection and airport at Mitel’s discretion;
b. Four (4) nights’ accommodation based on double occupancy at a hotel of Mitel’s choice;
c. Transfers from airport in Dominican Republic to hotel;
d. One (1) sponsored activity;
e. Breakfasts and dinners; and
f. Taxes, fees, and charges associated with the airfare, accommodation, transfers, and sponsored activity.

The Prize has an approximate retail value of $4,060.00 USD.

Prize Redemption Restrictions and Conditions
10. A Winner is responsible for designating the recipient of the trip within its organization (“Designate”).
11. The Winner will be responsible for all other expenses not specifically included in the Prize.
12. The Designate must abide by all venue policies and ticket terms and conditions.
13. The Winner must ensure that its Designate and his/her travel companion has the legal right to leave North America and to return to same and must have the legal right to enter and leave the destination country to which they are bound. They are fully responsible for obtaining, at their own expenses, all documentation necessary for the trip as required by the authorities concerned, including, but not limited to, visas, passports, vaccinations, and certificates. These shall be obtained before departure, and a failure to do so by the Designate may result in the Winner forfeiting the Prize.
14. Designates will be subject to local guidelines regarding COVID precautions, which may include the requirement to be vaccinated, show proof of negative test results or wearing masks while on travel or at the resort. Further, Mitel will require all attendees to execute and return to Mitel a release of liability, waiver of claim and assumption of risk document in a form satisfactory to Mitel prior to the trip.
15. Winners, Designates and Designates’ travel companions will be required to sign and return to Mitel a general liability and publicity release as a condition of Prize redemption which shall, among other things:

a. release Mitel from any liability, losses, damages, and expenses which may be suffered or incurred in connection with the Contest or the Prize; and
b. provide consent to the use by Mitel, without further consideration, of personal information for publicity and promotion purposes in accordance with Mitel’s privacy policy. The form and content of this release shall be provided by Mitel following the Winner selection.

16. All of the personal expenses, custom duties, entry fees, tourist cards, surcharges, insurance charges, pre and post hotel accommodations, additional costs for vehicle rental, baggage cancellation or medical travel insurance related expenses, supplementary ground transportation (including to/from the departure airport), gratuities, telephone calls, in-room charges, and any other incidental costs or other expenses not specifically set forth in these Official Rules are the responsibility of the Winner and/or the Designate (and his/her travel companion). Mitel has no responsibility for any of these items.
17. Any and all Prize-related expenses not specifically identified in these Official Rules as being the responsibility of Mitel, including without limitation any and all federal, state, and local taxes, shall be the sole responsibility of the Winner.
18. Limit of one (1) Prize per Winner. The Prize is non-assignable, non-transferable, non-refundable, non-exchangeable and is not convertible to cash. Mitel reserves the right in its sole discretion to substitute the Prize for a prize of equal or greater value (based on the approximate retail value of the Prize as stated in these Official Rules), including without limitation a cash award, if the Prize cannot be awarded as described herein for any reason. All details and other restrictions of the Prize not specified in these Official Rules will be determined by Mitel in its sole discretion. A Winner shall respect the validity dates of the Contest and will be subject to these Official Rules.

Winner Selection
19. On or about January 18, 2023, the twelve (12) Winners will be named in accordance with the Official Rules set here out herein.
20. Winners will be contacted via their designated primary email contact on or about January 18, 2023. If a Winner cannot be contacted within five business (5) days after the date of the first attempt at contact, Mitel may select an alternate potential winner, which would be the next Eligible Partner with the next highest calculation of GPP Points.
21. In the event of an exact GPP Points tie, Mitel will review the total number of customers associated with the GPP Points and the Eligible Partner with the most customers will be selected as a Winner.

Conduct
22. Mitel reserves the right, in its sole discretion, to disqualify any Eligible Partner it finds to be: (a) violating the Official Rules; (b) tampering or attempting to tamper with the GPP Points or the operation of the Contest; (c) acting in an unsportsmanlike or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person; or (d) for any other similar conduct. Any attempt by an Eligible Partner or any other individual to undermine the legitimate operation of this Contest may be a violation of criminal and/or civil laws. Should any such attempt be made, Mitel reserves the right to seek remedies and damages to the fullest extent permitted by law.

Limitations of Liability
23. In the event of any discrepancy or inconsistency between the Official Rules and disclosures or other statements contained in any Contest-related materials and/or any instructions or interpretations of these Official Rules given by any representative of Mitel, these Official Rules shall prevail, govern, and control to the fullest extent permitted by law.
24. Any participant Eligible Partner hereby waives any right to damages for any act or omission taken or made by Mitel in relation to the Contest. Mitel makes no warranties, express or implied, arising out of or connection with these Official Rules including without limitation relative to the use or enjoyment of any Prize (or any portion thereof) including, without limitation, its quality, merchantability, or fitness for a particular purpose. Each Eligible Partner and/or Winner agrees to indemnify, hold harmless and fully release Mitel from any and all claims, demands, losses, promises, causes of action and/or liabilities for any injuries, losses, illness, death, or damages of any kind caused, directly or indirectly, in whole or in part, by participation in, or preparation for, the Contest, Contest-related activity, or resulting from the acceptance, possession, quality, use or misuse of the Prize (or any portion thereof) including any travel or activity related thereto. Each Eligible Partner agrees that under no circumstance will it be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses; and that any and all disputes, claims, controversies or causes of action arising out of or relating to the Contest or any Prize awarded (“Claim”) shall not be consolidated or joined with or in any proceeding involving a Claim of any other party.
25. Mitel will not be responsible for weather conditions, acts of God, acts of terrorism, civil disturbances, work stoppage, public health restrictions, natural disaster, or any other issue outside of Mitel’s control, including but not limited to issues that may cause cancellation or postponement. The trip will take place and guests will attend on dates specified by Mitel or will be forfeited.

Protection of Personal Information
26. By entering to participate in the Contest, each Eligible Partner expressly consents to Mitel, their respective agents, affiliates, and/or representatives, storing and using personal information including that of a Designate, if any, submitted in accordance with Mitel’s privacy policy which shall be deemed to include administering this Contest. Eligible Partner represents and warrants it has all necessary rights, and has made all requisite disclosures, required to provide the aforementioned consent. This section does not limit any other consent(s) that an individual may provide Mitel or others in relation to the collection, use and/or disclosure of their personal information.
27. Being selected as a Winner constitutes permission for Mitel to use the Winner’s name, likeness, and information for purposes of advertising and trade without further compensation, unless prohibited by law.

General
28. Mitel is the sole arbiter of any issue arising that pertains to the Contest. ANYONE DEEMED BY MITEL TO BE IN VIOLATION OF THE LETTER AND/OR SPIRIT OF THESE OFFICIAL RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF MITEL AT ANY TIME.
29. Rhode Island businesses may not participate. Contest is void where prohibited.
30. Eligible Partner’s participation in the Contest shall constitute Eligible Partner’s acceptance of these Official Rules. In the event that the Eligible Partner does not agree with any Official Rules, Eligible Partner may not participate in the Contest.
31. Mitel reserves the right, in its sole and absolute discretion, to withdraw, amend, suspend, or restrict the Contest (or to amend these Official Rules) at any time without notice.
32. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.
33. To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants, will be governed by and construed in accordance with the laws of the State of New York and the federal laws of the United States of America applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to exclusive jurisdiction and venue of the courts located in the state of New York in any action to enforce (or otherwise relating to) these Official Rules or relating to the Contest.
