Event Terms of Use
Participation in Live, Virtual Event 


 

These Event Terms of Use, in addition to and including the Medscape Network Terms of Use (collectively, these “Terms”), apply to your participation in certain content provided by Medscape LLC and its affiliates (referred to collectively as “Medscape,” “us,” “we” and “our”) and third-party partners (“Partners”) within certain websites, mobile applications and other resources provided by us (“Medscape Network”) or Partners that are intended for use by healthcare professionals for medical education and discussion (collectively, the “Event Services"). By using the Event Services, you agree to these Terms, whether or not you are a registered member of the Medscape Network. These Terms govern your use of the Event Services and create a binding legal agreement that we may enforce against you. If you do not agree to all of these Terms, do not use the Event Services.

By participating in the Event Services, including where applicable live, recorded participation in the Event Services with your name, likeness, images, performances, recordings, video, texts, photographs, figures, graphics, data, sound and any other content or materials you make available pursuant to your use of the Event Services (collectively, “User Content”), in consideration of our provision of the Event Services, you agree to the following terms and conditions.

You agree that Medscape, Partners, and its and their respective directors, officers, agents, parent companies, subsidiaries, affiliates, licensees, successors and assigns (collectively, the “Licensed Parties”) shall be authorized to use, publish, broadcast, reproduce, display, transmit, license (including the right to sublicense and allow sublicenses), exhibit, perform, disseminate, distribute, adapt, modify, sell and otherwise exploit (collectively “Use”) the User Content (and excerpts therefrom) worldwide in any and all materials and in any and all media now known or hereafter developed in perpetuity, without any compensation to you.

You agree that you will not engage in any conduct that constitutes an “Act of Moral Turpitude” while interacting with the Event Services. For purposes hereof, an “Act of Moral Turpitude” shall mean the (i) your failure, refusal or neglect to govern your conduct with due regard to social conventions, public morals and decency, or (ii) the commission of any act that brings you into public disrepute, scandal, contempt, or which shocks, insults or offends a portion of the viewing audience of the Event Services or any other market for Medscape’s brand.

You agree you will not interact with the Event Services in any manner which may or will interfere with or otherwise impair (i) any Licensed Party’s ability to provide the Event Services and/or Use the User Content, or (ii) another end user’s ability to interact with the Event Services. You agree that the rights granted to Licensed Parties hereunder will not violate the rights of third parties, including, without limitation, any intellectual property or privacy rights. You agree to comply with all applicable laws, regulations, orders and ordinances with respect to your interaction to the Event Services. You agree to indemnify, defend and hold harmless the Licensed Parties against any and all claims, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of your breach of any of your agreements contained herein. By interacting with the Event Services, you hereby release, discharge and agree to hold harmless the Licensed Parties from any and all claims whatsoever arising out of your interaction with the Event Services (including, without limitation, invasion of privacy, violation of the right of publicity or defamation) or for any compensation for Use of the User Content. No waiver of any breach of violation of these Terms extended by any party hereto to any other party hereto shall be construed as a waiver of rights or remedies of such party or any other party with respect to any other breach or violation of these Terms. These Terms are governed by the laws of the State of New York and constitutes the entire agreement between you and us with respect to the Event Services.
