A View From the Front: Practical Guidance Learned from Exams of Private Fund Advisers

In light of the considerable attention given by the SEC in recent years to private fund managers, particularly in private equity and real estate, the stakes are high for firms that undergo SEC exams. Exams are likely to subject private fund managers to questions about fees, expenses, investment allocations, and valuation practices, amongst other areas of focus. 

Even firms that have devoted substantial resources and attention to their compliance programs run the risk of ineffectively answering questions or formulating answers in a way that draws greater attention from regulators. An exam that does not go smoothly can create long-standing reputational damage, result in a fund manager being identified as a high-risk advisor, or lead to an unwanted enforcement action. 

Our panel has counseled private equity fund managers and other registered investment advisers to private funds through dozens of exams in the last several years.
